Welcome to Rexvet! These terms and conditions outline the rules and regulations for the use of our website,www.rexvet.org. By accessing this website, you agree to comply with these terms and conditions. If you do not agree with any part of these terms, please do not continue to use Rexvet.
Introduction
Welcome to Rexvet!
Rex Vets, Inc. (“Rex Vets,” “RexVet,” “we,” “us,” or “our”) is a Florida-based 501(c)(3) nonprofit organization that operates an online platform and marketplace that enables independently licensed veterinary professionals (“Vets”) to provide veterinary telehealth services to animal owners or caregivers (“Clients”) for their pets and other animals (“Pets”).
For purposes of these Terms of Use, “veterinary telehealth” may include telemedicine, teletriage, and/or general teleadvice, delivered through electronic communications (including video, voice, messaging, or text-based chat), where the Vet and the Pet are not in the same physical location. The scope of services available to a Client depends on the Vet’s licensure, the Client’s location, and applicable federal, state, and local laws.
Rex Vets does not itself provide veterinary medical care. Veterinary services made available through the platform are provided solely by independent, licensed veterinarians, and not by Rex Vets as an entity. Rex Vets acts only as a technology and administrative platform that facilitates access to veterinary telehealth services.
These Terms of Use (“Terms”) constitute a legally binding agreement between you, whether you are a Vet or a Client (“user,” “you,” or “your”), and Rex Vets, Inc., governing your access to and use of any website, application, or platform on which these Terms are posted (each a “Site”), and all services, features, content, or functionality provided through the Site (collectively, the “Services”).
Please read these Terms carefully before using the Services. These Terms describe the basis on which the Services are provided and include important information regarding eligibility, limitations of liability, disclaimers, dispute resolution, and circumstances under which your access to the Services may be suspended or terminated.

THE SERVICES ARE NOT INTENDED FOR EMERGENCIES AND DO NOT REPLACE AN IN-PERSON VETERINARY EXAMINATION.
If your Pet is experiencing a medical emergency, is in distress, or if you are at any time concerned about your Pet’s health or treatment, you should immediately seek care from the nearest open veterinary clinic or emergency hospital.
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
To use the Services, you must be at least 18 years of age and have the legal capacity to enter into a binding contract. If you are entering into these Terms on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such cases, the terms “user,” “you,” or “your” shall refer to both you and the entity you represent.
These Terms are organized into sections. Unless otherwise stated, all sections apply to all users of the Services.
1. Information About Us
1.1 We are Rex Vets Inc. trading as RexVet, with EIN 33-2469898 and registered address at 382 NE 191ST ST NUM 751560 MIAMI, FL 33179.
2. Our Services
2.1 Scope of Services
RexVet’s Services are limited to providing access to content on the Site and operating a technology platform that facilitates communication, appointment scheduling, and administrative interactions between Clients and independent, licensed veterinary professionals (“Vets”). RexVet does not provide veterinary medical care, diagnosis, treatment, prescribing, or pharmaceutical services. When a Client schedules an appointment with a Vet through the Site, RexVet acts solely as a neutral technology and administrative intermediary that enables the transaction between the Client and the Vet. RexVet does not act as a veterinary practice, medical provider, employer, partner, or legal agent of any Vet.
2.2 Independent Veterinary Professionals and Third-Party Services
RexVet’s Services do not include veterinary services, telemedicine services, pharmaceutical services, or the dispensing of medications. All veterinary telehealth services, including telemedicine, teletriage, teleadvice, diagnosis, treatment recommendations, and prescribing decisions, are provided exclusively by independent Vets and not by RexVet. Vets accessible through the Site are independent contractors and are not employees, agents, partners, or representatives of RexVet. RexVet does not supervise, direct, control, or oversee the professional judgment, clinical decisions, or medical services provided by any Vet or other third party.
Each Vet is solely responsible for the veterinary services they provide to Clients and Pets, including compliance with all applicable federal, state, and local laws and regulations, veterinary licensure requirements, telemedicine laws, veterinarian-client-patient relationship (VCPR) requirements, professional standards of care, ethical obligations, and any prescribing decisions. Any professional, contractual, or legal relationship regarding veterinary services exists solely between the Vet and the Client. RexVet is not a pharmacy and does not dispense, supply, or fulfill prescriptions or medications.
Any listings, profiles, credentials, availability, reviews, or other information regarding Vets or third-party services that are made available on the Site are provided for informational purposes only and do not constitute an endorsement, recommendation, certification, or guarantee by RexVet. RexVet does not guarantee, and expressly disclaims liability for, the quality, safety, legality, appropriateness, or outcome of any veterinary services; the accuracy or completeness of Vet listings, profiles, reviews, or advertisements; a Vet’s ability to provide veterinary services or prescribe medications; or a Client’s ability or suitability to engage a Vet. Clients may be required to enter into one or more separate agreements, terms, or informed consent documents directly with a Vet prior to receiving veterinary telehealth services.
3. Your Account and Security
3.1 Account Registration and Eligibility
To access certain features of the Site or use certain Services, you must register an account (“Account”) and provide requested information (“Account Information”). There is no guarantee that you will be accepted as a registered user. RexVet reserves the right, in its sole discretion, to approve, deny, suspend, restrict, investigate, or terminate any Account at any time and for any reason, including to maintain or restore security, ensure compliance with these Terms, comply with legal or regulatory obligations, or protect the integrity and performance of the Services.
3.2 Accuracy and Maintenance of Account Information
You represent and warrant that all Account Information you provide is true, accurate, current, and complete, and you agree to maintain and promptly update such information as necessary. All personal information associated with your Account or your use of the Services is collected, used, and disclosed in accordance with RexVet’s Privacy Policy. Failure to provide or maintain accurate or current information may result in suspension or termination of your Account.
3.3 Account Use and Non-Transferability
Your right to access and use the Site and Services is personal to you and non-transferable. Each individual user is permitted to maintain only one Account unless expressly authorized by RexVet. You may not sell, assign, transfer, share, or permit any other person or entity to access or use your Account or Login Details.
3.4 Login Credentials and Account Responsibility
Upon registration, you will establish a user ID and password or other secure authentication credentials (“Login Details”). You are solely responsible for maintaining the confidentiality and security of your Login Details and for all activities that occur under your Account, whether authorized or unauthorized, including any transactions, fees, or charges incurred. You must not use the Account of any other user without authorization.
3.5 Unauthorized Access and Security Obligations
You must immediately notify RexVet if you become aware of any unauthorized use of your Account or Login Details or any other breach of security. If you believe your Account has been compromised, you agree to promptly change your Login Details and take any additional steps reasonably requested by RexVet to secure your Account. If RexVet reasonably suspects unauthorized access, fraudulent activity, or security concerns, you agree to cooperate fully, including changing Login Details, providing verification, and taking corrective action as requested.
3.6 Identity Verification Disclaimer
User verification on the internet is inherently difficult. RexVet does not guarantee the identity of any user and does not assume responsibility for confirming the identity of Clients, Vets, or other users of the Services. While RexVet may provide communication tools through the Site, their use does not ensure the identity of the person with whom you are communicating. You are responsible for taking reasonable steps to verify the identity of others with whom you interact through the Services.
3.7 Responsibility for Losses and Enforcement Rights
To the fullest extent permitted by law, RexVet shall not be liable for any loss, damage, or unauthorized transactions arising from your failure to comply with these Account security obligations or from unauthorized use of your Account or Login Details. You acknowledge and agree that unauthorized use of your Account may result in liability to RexVet and to other users. You agree to be responsible for, and upon request reimburse RexVet for, any losses, damages, fees, or charges incurred by RexVet or third parties as a result of such unauthorized use, except to the extent directly caused by RexVet’s failure to maintain commercially reasonable security measures. RexVet reserves the right, without prior notice, to suspend or terminate any Account, cancel or reverse transactions, suspend or remove Vet listings, or restrict access to the Services if RexVet reasonably believes an Account is being used in an unauthorized, fraudulent, or non-compliant manner, or if requested identification or verification information is not provided within a reasonable timeframe.
4. User Identity
4.1 Identity Disclaimer
You may be able to communicate directly with other users through tools made available on the Site; however, such communication does not constitute verification or confirmation of any user’s identity. Verification of user identity on the internet is inherently difficult, and RexVet does not guarantee, represent, or warrant the identity, credentials, or authority of any user, including Clients, Vets, or other third parties. RexVet does not assume responsibility for confirming the identity of any user or for any interactions that occur between users through the Site. You are solely responsible for taking reasonable steps to verify the identity of any person with whom you communicate or interact in connection with the Services.
5. Client Fees and Payments
5.1 Fees Charged at Booking
Upon booking a consultation appointment with a veterinarian (“Vet”) through the Site, the Client agrees to pay the fees displayed at the time of booking. These fees may include the Vet’s appointment fee for professional services and a RexVet service fee for use of the Site and Services, including platform access, scheduling, technology infrastructure, customer support, and administrative facilitation. All applicable fees are disclosed prior to confirmation of the booking, and by confirming the booking, the Client agrees to pay such fees.
5.2 Fee Disclosure and Changes
All consultation fees are presented to the Client before the booking is confirmed. If the Client does not agree to the fees shown, the Client must not proceed with the booking. Fees may be updated or modified from time to time without prior notice; however, any fee changes will not apply to appointments that have already been booked and confirmed.
5.3 Payment Processing and Role of RexVet
Payment of the Vet’s appointment fee and any applicable RexVet service fee is collected by RexVet solely as a limited payment facilitator for administrative convenience. RexVet is authorized by participating Vets to collect and process payments on their behalf. Payment to RexVet satisfies the Client’s payment obligation for the booked consultation. RexVet does not provide veterinary medical services and is not responsible for the professional services rendered by any Vet.
6. Cancellation and Refunds
6.1 Waiver of Cooling-Off Period
By booking an appointment through the Site, the Client expressly requests that the Vet and RexVet provide their respective services at the scheduled appointment time, which may occur before the expiration of any statutory “cooling-off” period, including any 14-day cancellation right that may otherwise apply. The Client acknowledges and agrees that, once an appointment is booked, the Client waives any such cancellation right except as expressly set forth in this Section.
6.2 Cancellations, Rescheduling, and No-Shows
Clients may cancel or reschedule an appointment without penalty up to twelve (12) hours prior to the scheduled appointment start time. Cancellations or rescheduling requests made less than twelve (12) hours before the scheduled start time will be charged the full appointment fee. If a Client fails to attend a scheduled appointment or does not join the virtual consultation within ten (10) minutes of the scheduled start time, the appointment will be considered a no-show and is non-refundable. Appointment times are reserved exclusively for the Client once booked.
6.3 Refund Eligibility
Consultation fees are non-refundable except in limited circumstances. A refund may be issued only if RexVet cancels the appointment or if there is a verified technical failure on RexVet’s platform that prevents the appointment from taking place. Refund eligibility is determined by RexVet in its sole discretion following internal review.
6.4 Non-Refundable Circumstances
Refunds will not be issued if the Client misses an appointment, cancels late, reschedules outside the permitted timeframe, or changes their mind after booking. Refunds will also not be issued if the Client disagrees with a Vet’s professional opinion, medical advice, treatment recommendations, or prescribing decisions, including situations where medication is not prescribed due to medical judgment or legal or licensure restrictions. Once a consultation has occurred and a Vet has provided professional services, the service is considered fully rendered and completed.
6.5 Refund Requests and Processing
Any request for cancellation or refund must be submitted via email as soon as reasonably possible. If RexVet determines that a refund request meets the eligibility criteria set forth in this Section, the refund will be processed within ten (10) business days. RexVet’s determination regarding refund eligibility is final and binding to the fullest extent permitted by law.
7. General Payment Terms and Overdue Amounts
7.1 Payment Methods and Timing
All fees and any applicable taxes must be paid to RexVet in a timely manner using a valid debit card, credit card, or other payment method made available by RexVet from time to time. By providing a payment method, you represent and warrant that you are authorized to use the designated payment method and authorize RexVet to charge all applicable fees in connection with your use of the Services.
7.2 Currency Conversion and Third-Party Fees
If applicable, currency exchange rates and any transaction or processing fees are determined solely by your bank, card issuer, or payment service provider and are outside of RexVet's control. Such fees may result in the amount reflected on your bank or card statement differing from the amount shown on the Site at the time of booking. RexVet is not responsible for, and will not reimburse, any currency conversion charges, foreign transaction fees, or similar charges imposed by third parties. Any questions regarding such fees should be directed to your bank or payment provider.
7.3 Failed Payments, Overdue Amounts, and Enforcement
If any payment owed by you is not successfully processed when due, including due to a failed payment method, chargeback, or reversal, RexVet reserves the right, without limiting any other available remedies, to charge any alternative payment methods on file, seek recovery of the outstanding amounts through lawful collection mechanisms, refer the matter to a third-party collections agency, or pursue any other remedies permitted by law. RexVet may also suspend or terminate your Account, restrict access to the Services, or refuse to provide future Services until all outstanding amounts are paid in full.
7.4 User Feedback and Content License
By submitting comments, feedback, reviews, or other content to RexVet through the Site or any associated communication channels, you grant RexVet a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, display, and distribute such content for operational, promotional, educational, or marketing purposes, in any media or format, without compensation to you. This license does not affect ownership of your original content and does not apply to personal or medical information protected under applicable privacy laws.
8. Intellectual Property
8.1 Ownership of Intellectual Property
RexVet is the owner or authorized licensee of all intellectual property rights in and to the Site, the Services, and all content, materials, features, functionality, software, text, graphics, images, videos, audio, and other materials made available through the Site or Services. These works are protected by copyright, trademark, trade secret, and other intellectual property laws and treaties worldwide, and all rights are reserved. Except for the limited right to access and use the Site and Services in accordance with these Terms, nothing in these Terms grants or conveys to you any ownership interest, license, or other rights in or to any intellectual property of RexVet.
8.2 Trademarks and Branding
"RexVet," "Rex Vets," and www.rexvet.org, together with all related names, logos, slogans, service marks, and trade dress, are trademarks or service marks of RexVet and may not be used without RexVet's prior written consent. The names, logos, trademarks, and service marks of third parties appearing on the Site are the property of their respective owners and are used for identification purposes only. Nothing in these Terms grants you any right, title, or interest in or to any trademarks, service marks, or branding displayed on the Site.
8.3 Restrictions on Use
You may not copy, reproduce, modify, distribute, display, perform, publish, license, sell, create derivative works from, reverse engineer, or otherwise exploit any portion of the Site, Services, or content without RexVet's prior written permission, except as expressly permitted by these Terms or applicable law. Any unauthorized use of RexVet's intellectual property may result in termination of access to the Services and may subject you to civil or criminal liability.
9. Limited License to Use the Site
9.1 License Grant and Restrictions
Subject to your ongoing compliance with these Terms, RexVet grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and the Services solely for your personal, non-commercial use and only in accordance with these Terms. This license does not permit any resale, commercial use, or exploitation of the Site or Services, nor any use that is unlawful, prohibited, or inconsistent with the intended purpose of the Services.
RexVet reserves the right, in its sole discretion, to suspend, revoke, or terminate this license at any time, with or without notice, for any reason or no reason, including if you violate these Terms or applicable law. Any unauthorized use of the Site or Services may result in immediate termination of this license and may violate intellectual property, contract, or other laws. RexVet reserves all rights and remedies available at law or in equity in connection with any such violation, including the right to seek injunctive relief, damages, and recovery of costs and expenses incurred in enforcing these Terms.
10. No Unlawful or Prohibited Use
10.1 Permitted Use Only
You may use the Services solely as permitted by the features of the Site and in strict accordance with these Terms. You agree not to misuse the Services and not to encourage, assist, instruct, or enable any other person or entity to engage in conduct that would violate these Terms or applicable law.
10.2 Prohibited Conduct
You may not use the Site or Services in any manner that violates any applicable local, state, national, or international law or regulation, including veterinary, medical, consumer protection, data protection, advertising, or professional regulatory requirements. Prohibited uses include, but are not limited to, unlawful, fraudulent, deceptive, or misleading activity; use of the Services for any improper commercial or business purpose other than by Vets in good standing acting within the scope of their licensure and any applicable platform agreements; conduct that harms, exploits, or endangers minors; harassment, bullying, intimidation, or humiliation of any individual; impersonation of RexVet, any RexVet personnel, another user, or any other person or entity; and any conduct that restricts, interferes with, or inhibits another person's use or enjoyment of the Services, or that RexVet determines may harm RexVet, users, or third parties or expose them to liability.
You further agree not to upload, transmit, send, receive, or make available any content that violates RexVet's content standards or content requirements; not to access, collect, harvest, store, use, or share data, including personal information of other users, without authorization; not to use data obtained through the Services for unsolicited contact, marketing, or promotional purposes; not to transmit spam, junk mail, chain letters, pyramid schemes, or other unauthorized solicitations; not to introduce viruses, malware, spyware, or other harmful code; and not to upload or distribute content that promotes or facilitates terrorism or other violent or criminal activity.
10.3 Technical and Intellectual Property Restrictions
You agree not to copy, reproduce, duplicate, distribute, republish, sell, or exploit any portion of the Site, Services, or content except as expressly permitted by these Terms. You may not frame, mirror, scrape, or replicate any part of the Site on another website, application, or platform without RexVet's prior written consent. You may not use any automated tools, including bots, crawlers, scrapers, scripts, or browser extensions, to access, extract data from, or interfere with the operation or presentation of the Site. You may not decompile, reverse engineer, disassemble, translate, modify, create derivative works from, or otherwise tamper with any software, proprietary materials, trade secrets, or technical components of the Services.
You also agree not to access without authorization, interfere with, damage, disrupt, or degrade any part of the Site; any servers, networks, or infrastructure used to provide the Services; any software used in connection with the Services; any other user's access to or use of the Services; or any third-party systems connected to the Services.
10.4 Enforcement and Cooperation with Authorities
Any violation of this Section may result in immediate suspension or termination of your Account and access to the Services. RexVet reserves the right to investigate any suspected violation and to take any technical, administrative, or legal action deemed necessary or appropriate, including without notice to you. RexVet may report violations to law enforcement or regulatory authorities and may cooperate with such authorities, including by disclosing information or identifying details as required or permitted by law.
10.5 Reporting Obligations
You agree to promptly notify RexVet if you become aware of any security breach, misuse of the Services, or illegal activity related to the Site or Services by contacting RexVet through the 'Support' section of the Site.
11. Communications and Other Users' Personal Information
11.1 User Communications and Monitoring
Users may communicate with one another through messaging or communication tools made available on the Site. All such communications must comply with these Terms, including RexVet's content requirements and standards as referenced in Sections 13 and 14. RexVet reserves the right, but does not assume the obligation, to monitor, review, screen, or retain communications transmitted through the Site for purposes including fraud prevention, abuse detection, spam prevention, policy enforcement, security, and legal compliance.
11.2 Permitted Use of Other Users' Personal Information
To the extent you obtain personal information of another user directly or indirectly through the Site, the Services, or any Site-related communication, transaction, or software, you agree to use such information solely for legitimate Site-related purposes. Permitted uses include non-solicitation communications related to use of the Services, facilitating or completing transactions contemplated by the Site, and communicating regarding veterinary telehealth services or related matters initiated through the platform. Any other use, including marketing, solicitation, disclosure, or data exploitation, is prohibited unless expressly authorized by the user and permitted by applicable law. You may not use or disclose any such personal information for any unlawful purpose or with any unlawful intent.
11.3 Data Protection Compliance and Indemnification
You represent and warrant that you will comply, and will ensure that your employees, agents, and contractors comply, with all applicable data protection, privacy, and confidentiality laws and regulations in connection with any personal information obtained through the Services. This includes obligations relating to consent, lawful processing, data security, confidentiality, integrity, and prevention of unauthorized access, use, disclosure, or transfer of personal information. You assume full responsibility and liability for any violation of such laws or obligations and agree to indemnify, defend, and hold harmless RexVet from and against any claims, damages, losses, liabilities, penalties, costs, or expenses arising out of or related to your breach of this Section.
11.4 Prohibition on Spam and Unsolicited Communications
RexVet does not permit spam or unsolicited commercial communications of any kind. You agree not to add any Site user, including a user with whom you have interacted or provided services through the Site, to any email list, mailing list, marketing database, or other distribution list without that user's prior express consent or unless otherwise permitted by applicable law. This restriction applies to electronic, physical, and any other form of unsolicited communication.
12. Content on the Site
12.1 General Information Only
The content made available on the Site is provided for general informational and educational purposes only. It is not intended to constitute, and should not be relied upon as, professional, medical, veterinary, legal, or other advice. You must obtain appropriate professional or specialist advice before taking, or refraining from taking, any action based on the content available on the Site.
12.2 No Veterinary Advice or Diagnosis Through Site Content
While the Site may provide access to general veterinary or pet health information, such content does not constitute and is not a substitute for professional veterinary advice, diagnosis, or treatment. You should always consult a licensed veterinary professional for diagnosis and treatment of your Pet. You must not disregard, avoid, or delay seeking veterinary advice because of information you have read on the Site. RexVet does not represent or warrant that any medication, treatment, product, or recommendation referenced in Site content is safe, appropriate, effective, or suitable for any particular Pet or condition. If you know or suspect that your Pet has a medical problem, you should promptly contact a licensed veterinarian through the Services, where legally permitted, or seek in-person veterinary care.
12.3 Accuracy, Updates, and Reliance on Content
The content on the Site may contain errors, omissions, inaccuracies, or outdated information. RexVet makes no representations or warranties regarding the completeness, accuracy, or timeliness of any content and does not assume any obligation to update or correct such content. RexVet reserves the right to modify, update, remove, or correct content on the Site at any time without notice and to refuse to provide Services based on inaccurate, outdated, or erroneous information, or for any other lawful reason.
13. User-Contributed Content
13.1 Nature of User-Contributed Content
The Site may include content posted, submitted, or otherwise provided by or on behalf of Vets, Clients, or other users, including without limitation veterinary listings, profiles, reviews, ratings, comments, messages, and posts in any interactive forum, chat feature, or other user-facing functionality (collectively, 'User-Contributed Content'). User-Contributed Content is not verified, endorsed, or approved by RexVet, and RexVet is not responsible for its accuracy, completeness, or reliability. All User-Contributed Content reflects the views and opinions of the individual user who provided it and does not necessarily reflect the views, values, or positions of RexVet.
13.2 Content Requirements and User Responsibility
Whenever you submit, upload, post, transmit, or otherwise make available User-Contributed Content, or communicate with other users through the Site, you agree to comply with these Terms, the content requirements set forth herein (including Section 14), any listing setup requirements incorporated by reference, and any additional guidelines or policies RexVet may publish from time to time (collectively, the 'Content Requirements'). You represent and warrant that any User-Contributed Content you provide complies with all applicable Content Requirements. You agree to be solely responsible for your User-Contributed Content and to indemnify, defend, and hold harmless RexVet from and against any losses, damages, liabilities, claims, or expenses arising from your breach of this warranty.
13.3 Ownership and License of User-Contributed Content
All User-Contributed Content you submit will be treated as non-confidential and non-proprietary. You retain any ownership rights you may have in your User-Contributed Content. However, by submitting such content, you grant RexVet, its affiliates, and its service providers a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable license to use, host, store, reproduce, modify, adapt, publish, translate, distribute, display, and make such content available to third parties in connection with the operation, improvement, promotion, and provision of the Site and Services, as further described in Section 15.
13.4 Disclosure of Identity and Legal Compliance
RexVet reserves the right to disclose your identity or other relevant information to any third party who claims that User-Contributed Content posted or uploaded by you violates their intellectual property rights, privacy rights, or other legal rights, or is defamatory, unlawful, or otherwise improper. RexVet may also disclose such information to law enforcement authorities, regulators, or courts if required by law or if RexVet reasonably believes such disclosure is necessary to comply with legal obligations or to protect the rights, safety, or property of RexVet or others.
13.5 Removal and Moderation of Content
RexVet reserves the right, but does not assume any obligation, to review, monitor, restrict, remove, or disable access to any User-Contributed Content at any time and for any reason, including if RexVet determines, in its sole discretion, that such content violates the Content Requirements, breaches these Terms, or may expose RexVet or others to liability. RexVet's decision to remove or restrict content does not imply endorsement or responsibility for any remaining User-Contributed Content.
13.6 Veterinary Listings and Reviews
Any veterinary listings, profiles, reviews, ratings, or feedback appearing on the Site are User-Contributed Content and are not verified or approved by RexVet. Each Vet is solely responsible for the accuracy, completeness, and currency of information included in their listing, including representations regarding licensure, qualifications, services offered, pricing, and geographic availability. RexVet does not guarantee that such information is accurate or up to date, and Clients are responsible for independently evaluating and verifying Vet information prior to engaging services.
13.7 Editorial and Formatting Changes
RexVet reserves the right, without obligation, to make non-substantive edits, additions, formatting changes, translations, or organizational adjustments to User-Contributed Content or Vet listings to improve presentation, consistency, search functionality, accessibility, or user experience. This may include modifying geographic or location descriptors used in search results or listings. RexVet does not assume responsibility for verifying the accuracy of such content, and each user remains responsible for reviewing their User-Contributed Content to ensure it is accurate, complete, and not misleading.
13.8 Prohibited Content
RexVet does not store, host, or knowingly permit terrorist content or other unlawful content on the Site and will take appropriate action to remove such content if identified.
13.9 Reporting Content Concerns
If you wish to report, dispute, or raise concerns regarding User-Contributed Content posted by another user, you may do so by contacting Support through the Site. RexVet will review reported content in accordance with these Terms and applicable policies but is not obligated to take action in response to any particular report.
14. Minimum Content Requirements
14.1 Content Standards
At a minimum, all User-Contributed Content must be lawful, accurate, respectful, and appropriate for the intended purpose of the Site. User-Contributed Content must not be defamatory, false, misleading, or inaccurate where it states facts, and must not express opinions that are not genuinely held. Content must not be obscene, offensive, hateful, discriminatory, inflammatory, threatening, abusive, or harassing, and must not bully, insult, intimidate, humiliate, or invade the privacy of any person, or cause unnecessary distress, anxiety, or harm.
User-Contributed Content must not include personal information of another individual that could be used to identify, locate, or contact them without proper authorization. Content must not impersonate any person or entity, misrepresent identity or affiliation, or give the false impression that it originates from or is endorsed by RexVet when that is not the case. Content must not infringe or violate any intellectual property rights, confidentiality obligations, contractual duties, or other legal rights of any third party.
User-Contributed Content must not include unsolicited or unauthorized advertising, promotional material, political messaging, campaigns, contests, raffles, or solicitations, and must be reasonably related to the Site, the Services, or the specific context in which the content is submitted. Content must not contravene any applicable law or regulation, promote illegal activity, violence, or criminal conduct, or advocate, encourage, assist, or facilitate unlawful acts.
User-Contributed Content must not contain sexually explicit material, child sexual abuse material, or any content that exploits or endangers minors. Content must not include statements that you know, believe, or reasonably should know could be interpreted as encouraging, promoting, or facilitating acts of terrorism or other violent extremism.
Any failure to comply with these minimum content requirements constitutes a breach of these Terms and may result in removal of content, suspension or termination of access to the Services, and any other enforcement actions permitted under these Terms or applicable law.
15. Rights in User-Contributed Content
15.1 License Grant
When you post, upload, submit, or otherwise make available any User-Contributed Content to the Site, you grant RexVet and its affiliates a perpetual, worldwide, irrevocable, non-exclusive, royalty-free, transferable, and sublicensable license to use, host, store, copy, reproduce, adapt, modify, edit, publish, translate, distribute, prepare derivative works of, publicly display, publicly perform, transmit, and otherwise exploit such User-Contributed Content, including any text, images, photographs, likenesses, videos, or other materials, in connection with the operation, improvement, promotion, marketing, and provision of the Site and Services, in any media or format now known or later developed. Notwithstanding the foregoing, following the termination or expiration of a specific Vet listing, RexVet will not continue to publicly display User-Contributed Content that was displayed solely in connection with that listing, except as reasonably necessary for legal, archival, dispute resolution, compliance, or enforcement purposes.
You further grant all other users of the Site a perpetual, worldwide, non-exclusive, royalty-free license to access and use your User-Contributed Content solely through the functionality of the Site and in accordance with these Terms.
You authorize RexVet and its affiliates to register copyright in, protect, and enforce rights in User-Contributed Content, including content associated with Vet listings, against unauthorized use, copying, scraping, or redistribution by third parties. This authorization includes the right, but not the obligation, to pursue enforcement actions, including injunctive relief, in RexVet's name or on your behalf, at RexVet's discretion. You agree to reasonably cooperate, at RexVet's expense and direction, in any such enforcement efforts.
You further agree that RexVet may sublicense any of the rights granted under this Section to third-party service providers, partners, or affiliates for purposes related to hosting, displaying, distributing, promoting, analyzing, or otherwise supporting the Site and Services.
15.2 Waiver of Moral Rights
To the extent permitted by applicable law, you irrevocably waive any moral rights, rights of attribution, or similar rights you may have in any User-Contributed Content. You agree not to assert any such rights against RexVet, its affiliates, sublicensees, or users, and you consent to the use, modification, adaptation, publication, deletion, or exploitation of your User-Contributed Content without restriction or compensation, including without attribution or identification of you as the author.
16. Feedback
16.1 Submission of Feedback
RexVet welcomes feedback, suggestions, comments, ideas, materials, or other input regarding the Site, the Services, or any aspect of RexVet's operations (collectively, 'Feedback'). You may submit Feedback by contacting Support through the Site or via other communication channels made available by RexVet. Submission of Feedback is voluntary, and RexVet is under no obligation to review, respond to, or implement any Feedback you provide.
16.2 Ownership and No Confidentiality
By submitting Feedback, you acknowledge and agree that all rights, title, and interest in and to such Feedback, including any intellectual property rights arising from or related to the Feedback, vest exclusively in RexVet upon submission. Feedback will be treated as non-confidential and non-proprietary, regardless of any designation or statement to the contrary, and submission of Feedback does not create any confidentiality, fiduciary, or other obligation on the part of RexVet.
16.3 Unrestricted Use and Waiver of Rights
RexVet may use, reproduce, disclose, distribute, modify, adapt, implement, commercialize, and otherwise exploit any Feedback you provide for any purpose, in any manner, and in any media, without restriction, attribution, or compensation to you. To the fullest extent permitted by law, you waive any right to compensation, credit, or acknowledgment in connection with RexVet's use of Feedback and waive any moral rights or similar rights you may have in such Feedback.
17. Social Media Content
17.1 Use of Social Media Content
Where the Site offers a feature, tool, or service that allows RexVet to access, retrieve, or use information or content from your profile on a third-party social media platform, including Facebook or any similar service (each a 'Social Media Site'), and you choose to use such feature, you acknowledge and agree that any information or content from your Social Media Site profile that you have designated as public, or that is otherwise made available in accordance with your social media privacy settings (collectively, 'Social Media Content'), may be accessed, displayed, used, and stored by RexVet in connection with the operation and promotion of the Site and Services.
You acknowledge and agree that any Social Media Content accessed or used by RexVet will be treated as User-Contributed Content under these Terms and will be subject to the same rights, licenses, obligations, and responsibilities applicable to User-Contributed Content as set forth in these Terms. RexVet does not verify the accuracy, completeness, or appropriateness of Social Media Content and assumes no responsibility for such content.
If any Social Media Content is inaccurately designated as public, is incorrect, outdated, misleading, or otherwise objectionable to you for any reason, you agree that your sole remedy is to modify your privacy settings or content directly through the applicable Social Media Site. You acknowledge that RexVet has no control over, and no obligation to correct, remove, or resolve disputes related to Social Media Content sourced from third-party platforms.
Your relationship with, and use of, any Social Media Site remains governed solely by that Social Media Site's own terms of service, privacy policy, and other applicable policies. RexVet is not responsible for the practices, content, or conduct of any Social Media Site.
18. Third-Party Links
18.1 Third-Party Websites and Resources
Where the Site contains links to third-party websites, platforms, or resources, such links are provided for informational convenience only. The inclusion of any link does not constitute an endorsement, approval, recommendation, or verification by RexVet of the linked website, its content, or any goods or services made available through it. RexVet has no control over the content, accuracy, availability, or practices of any third-party websites or resources and assumes no responsibility or liability for them. If you choose to access any third-party website or obtain goods or services from a third party, you do so entirely at your own risk. You are encouraged to review the applicable terms of use, privacy policies, and other policies of any third-party platform before using it.
18.2 Linking to the Site and Framing Restrictions
RexVet does not permit third parties to link to, frame, mirror, embed, or otherwise reproduce any portion of the Site or its content without RexVet's prior written consent, which may be granted or withheld in RexVet's sole and absolute discretion. RexVet reserves the right to disable, block, or take action against any unauthorized links, framing, or use of the Site or its content. RexVet assumes no responsibility or liability for any materials, websites, or content created or published by third parties that include links to the Site.
19. Responsibility for Insurance
19.1 Insurance Responsibilities
RexVet does not provide, arrange, or maintain insurance coverage of any kind for veterinary telehealth or other professional services obtained through the Site. Clients are solely responsible for obtaining and maintaining any pet insurance or other coverage they deem necessary or appropriate for their Pet. RexVet makes no representations or warranties regarding the availability, adequacy, or applicability of any insurance coverage.
Vets accessing or providing services through the Site represent and warrant that they maintain, and will continue to maintain while using the Services, all professional liability, malpractice, and other insurance coverage required by applicable law or reasonably necessary for the services they provide. Vets agree to provide RexVet with proof of such insurance coverage upon request. RexVet does not verify, endorse, or assume responsibility for the existence, scope, or sufficiency of any insurance maintained by Vets.
20. Termination or Suspension of Accounts or Use of the Services
20.1 Termination by You
You may terminate your Account at any time by submitting a written request through Support using the contact methods made available on the Site. Account termination requests will be processed within a reasonable timeframe, not to exceed thirty (30) days from receipt. Upon termination of your Account, you will no longer have access to the Account or any Services that require an active Account.
20.2 Suspension or Termination by RexVet
RexVet reserves the right, in its sole discretion, to suspend, restrict, or terminate your Account or your access to any part of the Services at any time and for any reason, with or without notice. This includes, without limitation, circumstances in which RexVet determines that you have breached these Terms; that your Account or the Services have been used, or are reasonably suspected to have been used, in an unauthorized, illegal, or fraudulent manner; that continued provision of the Services may cause RexVet to violate applicable law, regulation, professional obligation, or regulatory guidance; that continued access may expose RexVet or its affiliates to regulatory action, enforcement, liability, reputational harm, or risk; that you have engaged in threatening, abusive, or inappropriate behavior; that RexVet needs to investigate potential non-compliance with these Terms; or for any other lawful reason.
20.3 Identity Verification
RexVet may, at any time, request proof of identity or other verification information from a user. If such information is not provided within the timeframe requested, RexVet reserves the right, in its sole discretion, to suspend or cancel any pending or associated transactions and to restrict or terminate access to the Services.
20.4 Effect of Termination or Suspension
If your Account or access to the Services is suspended or terminated for any reason, you must not attempt to create or access another Account without RexVet's prior written permission. Upon suspension or termination, RexVet will have no further obligation to provide the Services to you, and all licenses, permissions, and other rights granted to you under these Terms will immediately cease.
20.5 Survival of Obligations
Any rights, obligations, or liabilities that arose prior to the suspension or termination of your Account or use of the Services shall survive such suspension or termination. This includes, without limitation, payment obligations, indemnification duties, limitations of liability, dispute resolution provisions, and any other terms that by their nature are intended to survive.
21. No Warranties and Disclaimer – PLEASE READ THIS SECTION CAREFULLY
21.1 No General Warranties
RexVet provides the Site and Services using a commercially reasonable level of skill and care. Except as expressly stated in these Terms or in any additional terms provided to you at the time you register for or use specific Services, RexVet makes no representations, warranties, or guarantees of any kind, whether express, implied, statutory, or otherwise, regarding the Site or the Services.
21.2 'As Is' and 'As Available' Basis
The Site, the Services, and all content, features, functionality, and materials made available on, through, or in connection with the Site or Services are provided on an 'as is' and 'as available' basis. To the fullest extent permitted by law, RexVet disclaims all warranties, express or implied, including any implied warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. RexVet does not warrant that any information or content made available through the Site or Services is accurate, complete, reliable, or up to date.
21.3 Availability and Continuity
RexVet does not guarantee that the Site, any content, or the Services will be available, uninterrupted, timely, or error-free at all times. Access to the Site or Services may be suspended, withdrawn, restricted, or modified at any time without notice for any reason, including system failures, maintenance, updates, repairs, security concerns, regulatory requirements, or circumstances beyond RexVet's reasonable control.
21.4 Security and Technical Risks
RexVet does not guarantee that the Site, Services, or any content will be secure, free from defects, errors, bugs, viruses, malware, or other harmful components. You acknowledge and agree that your use of the Site and Services is at your own risk. You are responsible for implementing appropriate safeguards, including antivirus and security software, to protect your devices, systems, and data. RexVet shall not be responsible or liable for any damage, loss, or harm resulting from your access to or use of the Site or Services.
22. Limitation of Liability – PLEASE READ THIS SECTION CAREFULLY
22.1 Foreseeable Damages Only
To the extent permitted by applicable law, if RexVet fails to comply with these Terms, RexVet will be responsible only for loss or damage you suffer that is a direct and reasonably foreseeable result of RexVet's breach of these Terms or failure to exercise commercially reasonable care and skill. RexVet will not be responsible for any loss or damage that is not reasonably foreseeable. Loss or damage is foreseeable only if it is a natural and probable consequence of the breach or was contemplated by both you and RexVet at the time the contract was formed.
22.2 Non-Excludable Liability
Nothing in these Terms limits or excludes RexVet's liability for death or personal injury caused by RexVet's gross negligence or willful misconduct, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable U.S. federal or state law.
22.3 Excluded Categories of Damages
To the fullest extent permitted by law, RexVet shall not be liable to you, whether in contract, tort (including negligence), strict liability, or otherwise, for any indirect, incidental, consequential, special, exemplary, or punitive damages. This includes, without limitation, loss of profits, loss of revenue, loss of business or business opportunities, loss of goodwill or reputation, loss of anticipated savings, business interruption, or loss, corruption, or unavailability of data.
RexVet shall also not be liable for any loss or damage arising out of or relating to services, advice, recommendations, diagnoses, treatment decisions, or prescribing decisions made by any veterinarian or other third party accessed through the Services, including circumstances in which medication is prescribed, not prescribed, or where in-person care is recommended or required.
22.4 No Liability for Use of the Site or Services
To the maximum extent permitted by law, RexVet disclaims all implied warranties and conditions and shall not be liable for any loss or damage arising from or in connection with your use of, inability to use, or reliance on the Site, the Services, any linked third-party websites, or any content made available through any of them, except as expressly set forth in these Terms.
22.5 Force Majeure
RexVet shall not be liable for any failure or delay in performance of its obligations under these Terms resulting from events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, public health emergencies, government actions, regulatory changes, labor disputes, power outages, internet or telecommunications failures, or system or hosting outages. Where practicable, RexVet will make reasonable efforts to notify users and resume Services as soon as reasonably possible.
22.6 Limitation of Liability Cap
To the fullest extent permitted by applicable law, RexVet's total aggregate liability to you for all claims arising out of or relating to the Site or the Services, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the greater of: (a) the total fees actually paid by you to RexVet in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (USD $100).
23. Disputes, Arbitration, and Applicable Law
23.1 Informal Resolution Requirement
RexVet is committed to resolving concerns in a fair and efficient manner. Before initiating any formal legal action, you agree to first contact Support and provide RexVet with a reasonable opportunity to investigate and attempt to resolve any dispute, claim, or complaint arising out of or relating to the Site, the Services, or these Terms. This informal resolution process is a condition precedent to arbitration or litigation, except where prohibited by law.
23.2 Disputes Between Users or Third Parties
If a dispute arises between users of the Site, or between a user and any third party (including a veterinarian), you acknowledge and agree that RexVet is not obligated to participate in or resolve such disputes. If RexVet elects, in its sole discretion, to assist with or review a dispute, any guidance or decision provided by RexVet is non-binding and does not create any legal duty, obligation, or liability on the part of RexVet.
23.3 Mandatory Binding Arbitration
Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services (including non-contractual claims) shall be resolved exclusively through final and binding arbitration, rather than in court. Arbitration shall be conducted on an individual basis in accordance with the rules of the American Arbitration Association (AAA) then in effect, as modified by this Section. The arbitration shall take place in the State of Florida, unless the parties agree otherwise. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
23.4 Class Action Waiver
To the fullest extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, collective, consolidated, or representative action. You waive any right to participate in a class action, private attorney general action, or other representative proceeding against RexVet. If this class action waiver is found unenforceable, then the arbitration requirement in Section 23.3 shall be null and void solely as to that claim.
23.5 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent or address unauthorized use, misuse, or infringement of intellectual property rights, or to enforce confidentiality or data protection obligations, without first engaging in arbitration.
23.6 Governing Law
These Terms, their subject matter, and their formation, and any dispute or claim arising out of or relating to them or the Services, shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of laws principles.
23.7 Venue for Permitted Court Actions
To the extent any dispute is permitted to proceed in court rather than arbitration, you agree that such action shall be brought exclusively in the state or federal courts located in the State of Florida, and you consent to personal jurisdiction and venue in those courts.
24. Updates and Changes
24.1 Changes to These Terms
These Terms are effective as of the date they were last updated, as indicated at the top of the Terms. RexVet may amend, modify, or update these Terms at any time in its sole discretion. Any updated version of the Terms will be posted on the Site and will become effective immediately upon posting, unless otherwise stated. When applicable, the Terms in effect at the time a Vet renews a subscription will govern that renewal period. Where you have registered an Account, RexVet may, but is not obligated to, provide notice of material changes through in-Site notifications, email, or other reasonable means. It is your responsibility to review the Terms regularly. By continuing to access or use the Site or Services after any changes become effective, you agree to be bound by the revised Terms. If you do not agree to any amendment, you must immediately discontinue use of the Site and the Services.
24.2 Changes to the Site and Services
RexVet continually develops, updates, and improves the Site and the Services. RexVet may modify, suspend, discontinue, or change any aspect of the Site, Services, or content at any time, including adding or removing features, functionalities, integrations, or content, improving performance or security, responding to user needs, complying with legal or regulatory requirements, or adjusting to business priorities. RexVet may require you to install updates or upgrades to continue using the Site or Services. If you decline to install required updates or disable automatic updates, you acknowledge that you may lose access to some or all of the Services. RexVet is not liable for any modification, suspension, or discontinuation of the Site or Services.
25. Your Personal Information
25.1 Use of Personal Information
RexVet collects, uses, stores, and discloses personal information in accordance with its Privacy Policy, which is incorporated into these Terms by reference. By using the Site or the Services, you acknowledge that you have reviewed the Privacy Policy and agree to the collection, use, and disclosure of your personal information as described therein. RexVet does not guarantee that the Site or Services will be free from unauthorized access or security breaches and disclaims liability to the fullest extent permitted by law for any unauthorized access, use, or disclosure of personal information except as required under applicable law.
26. Maps
26.1 Third-Party Mapping Services
The Site may include maps, location data, or related services provided by third-party mapping providers, including Google Maps and others. Your use of any such mapping features is subject to the applicable terms of service, privacy policies, and other conditions imposed by the relevant third-party provider. RexVet does not control, endorse, or assume responsibility for the content, accuracy, availability, or functionality of any third-party mapping services and shall not be liable for any errors, inaccuracies, outages, or issues arising from your use of such services.
27. Mobile Network Access
27.1 Mobile Network Charges and Compatibility
If you access the Site or Services through a mobile network or mobile device, your wireless carrier or roaming provider may charge messaging, data, bandwidth, or other fees, and you are solely responsible for all such charges. RexVet has no control over, and does not assume responsibility for, any fees imposed by your network provider. RexVet does not guarantee that the Site or Services will be compatible with all mobile devices, operating systems, browsers, networks, or carriers, and functionality may vary based on your device, software, or network configuration.
28. General Provisions
28.1 Communications and Notices
All notices or other communications to RexVet under these Terms must be made in writing and delivered via email or mail using the contact details provided through Support or otherwise made available on the Site. RexVet may communicate with you by email, telephone, mail, in-Site notifications, or by posting notices on the Site, using the contact information you have provided. You agree that all electronic communications satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law.
28.2 Relationship of the Parties
Nothing in these Terms or in your use of the Services creates or is intended to create any partnership, joint venture, employer-employee, fiduciary, or agency relationship between you and RexVet, except as expressly stated otherwise in these Terms.
28.3 Assignment
You may not assign, transfer, or delegate any of your rights or obligations under these Terms without RexVet's prior written consent. RexVet may freely assign or transfer its rights and obligations under these Terms, in whole or in part, to any affiliate, successor, or third party without notice to you, provided that such assignment does not materially diminish your rights under these Terms.
28.4 Waiver
No failure or delay by RexVet to exercise or enforce any right, remedy, or provision of these Terms shall operate as a waiver of that right or provision, nor shall any single or partial exercise of any right or remedy preclude any further exercise of that or any other right or remedy.
28.5 Severability
If any provision of these Terms is held by a court or other competent authority to be invalid, unlawful, or unenforceable, such provision shall be severed to the extent necessary, and the remaining provisions shall remain valid, enforceable, and in full force and effect.
28.6 Entire Agreement
These Terms, together with any policies or documents expressly incorporated by reference (including the Privacy Policy), constitute the entire agreement between you and RexVet relating to the Site and the Services and supersede all prior or contemporaneous agreements, understandings, negotiations, or representations, whether oral or written. You acknowledge that you have not relied on any statement, promise, assurance, or representation not expressly set forth in these Terms.
28.7 Interpretation
These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. Headings and section titles are included for convenience only and do not affect the interpretation or construction of these Terms.
28.8 No Third-Party Beneficiaries
These Terms are entered into solely between you and RexVet. No third party shall have any rights to enforce any provision of these Terms, and no third-party beneficiary relationship is intended or created by these Terms.

30. Vet's Responsibilities
30.1 Licensure, Compliance, and Professional Obligations
Any veterinarian ('Vet'), including any user acting on a Vet's behalf, who uses the Site or Services is solely responsible for understanding, complying with, and adhering to all laws, regulations, licensure requirements, professional standards, and restrictions applicable to their practice, including those related to teletriage, telehealth, telemedicine, prescribing, and online veterinary care. This responsibility applies based on where the Vet holds a license, where the Pet is located, and where the veterinary services are provided or deemed to be provided.
RexVet does not provide legal, regulatory, or licensure guidance to Vets and is not responsible for interpreting or advising on local, state, federal, or international laws or regulations governing veterinary practice. RexVet shall not be liable for any failure by a Vet to comply with applicable laws, regulations, licensing requirements, or professional obligations when providing services through the Site.
Notwithstanding the foregoing, RexVet reserves the right, but does not assume any obligation, to investigate suspected non-compliance with these Terms or applicable laws and to take appropriate action, including suspension or termination of access to the Services. RexVet may also cooperate with law enforcement authorities, veterinary boards, regulators, or other competent authorities in connection with any investigation or enforcement action involving a Vet's use of the Services.
31. Vet Listing Requirements
31.1 Vet Representations and Warranties
By listing services on the Site and for the duration of such listing, each veterinarian ('Vet') represents and warrants that the Vet holds and will maintain all required legal, regulatory, and professional qualifications, permits, approvals, certifications, licenses, and accreditations necessary to lawfully practice veterinary medicine and provide veterinary teletriage, telehealth, telemedicine, or related services in the United States and in any other jurisdiction in which the Vet offers or provides services. The Vet further represents that they are not currently, and have not been within the preceding three (3) years, subject to any unresolved investigations, disciplinary actions, or substantiated complaints involving professional negligence or misconduct.
Each Vet represents and warrants that all services provided through or in connection with the Site will be performed in compliance with all applicable federal, state, and local laws and regulations, as well as all professional standards, ethical obligations, and requirements imposed by applicable veterinary licensing boards, accrediting bodies, or professional associations. The Vet acknowledges and agrees that they must exercise independent professional judgment in each case to determine whether teletriage, telehealth, or telemedicine is appropriate for the circumstances presented, including whether an in-person physical examination, diagnostic testing, or referral to in-clinic or emergency care is required prior to making a diagnosis or prescribing any medication.
Each Vet remains solely responsible for compliance with all requirements relating to licensure in the jurisdiction where the Pet is located, the existence or establishment of a valid veterinarian-client-patient relationship (VCPR) where required, the scope of permissible prescribing, and obtaining and documenting any required informed client consent. Each Vet further agrees to uphold and maintain the integrity, confidentiality, and professional standards of the veterinarian-client relationship at all times.
31.2 Listing and Participation Requirements
As a condition of posting and maintaining a listing on the Site, Vets must comply with RexVet's listing and participation requirements, which may be updated from time to time. At a minimum, Vets must provide accurate and current veterinary license information and, where applicable, veterinary clinic information to complete and maintain an Account. Vets are expected to use commercially reasonable efforts to respond to consultation booking requests within a reasonable timeframe, generally within twenty-four (24) hours, and to maintain reasonable availability and responsiveness in the interest of client experience. Repeated failure to respond to booking requests, acceptance followed by frequent cancellations, or other conduct that materially degrades client experience may result in corrective action, including suspension or removal of the Vet's listing.
31.3 Ongoing Disclosure Obligations
Each Vet must promptly notify RexVet if any required license, certification, permit, accreditation, or approval is revoked, suspended, restricted, or otherwise becomes invalid, or if the Vet becomes subject to any investigation, claim, disciplinary action, or complaint involving alleged professional negligence or misconduct. Failure to provide timely and accurate notice may result in immediate suspension or termination of access to the Services.
31.4 No Regulatory Guidance by RexVet
Veterinarians and veterinary technicians using the Site acknowledge and agree that they are solely responsible for understanding the scope, limitations, and restrictions of their respective licenses as they relate to teletriage, telehealth, telemedicine, and online veterinary care. RexVet does not provide legal, regulatory, or licensure guidance and does not interpret or advise on the requirements of any veterinary licensing authority. RexVet shall not be responsible or liable for any error, omission, or non-compliance by a Vet or veterinary technician arising from the exercise or misunderstanding of their licensure permissions or professional obligations.
32. Investigation and Enforcement
Investigation and Enforcement
RexVet reserves the right, but does not assume any obligation, to investigate suspected violations of these Terms, applicable laws, or professional requirements by any user, including any Vet. RexVet may take any technical, administrative, legal, or other action it deems appropriate in its sole discretion to prevent, address, or remediate violations, including without limitation suspending or terminating Accounts or listings without prior notice. RexVet may also cooperate with law enforcement agencies, veterinary licensing boards, regulators, or other competent authorities in connection with any investigation or enforcement action. You acknowledge and agree that RexVet's enforcement actions are discretionary and that RexVet shall not be liable for any decision to investigate, decline to investigate, or take action with respect to any alleged violation.
33. Appearance in Search Results
33.1 Search Ranking and Visibility
RexVet does not guarantee that any Vet's listing will appear in a particular position, order, or frequency within search results on the Site. Search rankings and visibility may vary and are determined by a variety of factors, which may include, without limitation, Client search parameters and preferences, listing completeness and quality, Vet responsiveness, acceptance and completion rates for bookings, compliance with listing and participation requirements, availability, historical activity, and other factors RexVet may determine are relevant to optimizing the user experience (collectively, 'Best Match'). RexVet reserves the right to use, modify, and apply search algorithms, ranking methodologies, and other processes to generate Best Match results and to improve the effectiveness of search functionality. Search results may differ between the RexVet website and any mobile application. RexVet may also conduct limited-duration testing or experiments that affect how listings or search results are displayed. RexVet shall have no liability to any user arising from the position, order, visibility, or omission of any listing in search results.
34. Content, Layout, and Copy
34.1 Editorial Review and Control
All content, copy, images, and other materials submitted by Vets for display on the Site are subject to RexVet's review and approval. RexVet reserves the right, in its sole discretion, to refuse, remove, decline to publish, or modify any content that does not comply with these Terms, applicable laws, platform standards, or RexVet's content and quality requirements. RexVet may also make non-substantive edits for formatting, clarity, consistency, or user experience purposes. Vets remain solely responsible for reviewing their listings and ensuring that all content displayed on the Site is accurate, complete, compliant, and reflects their intended representations. RexVet assumes no responsibility for errors, omissions, or misstatements in Vet-submitted content.
35. Photographs
35.1 License to Use Photographs
By submitting any photographs or other visual materials for inclusion in a Vet's listing or otherwise through the Site, the Vet grants RexVet and its affiliates a worldwide, perpetual, non-exclusive, royalty-free, transferable license to use, host, store, reproduce, modify, display, distribute, and publicly perform such materials in connection with the Vet's listing, the operation of the Site, and the promotion or marketing of the Vet's services or the Site, in whole or in part, across any media now known or later developed.
35.2 Restrictions on Submitted Images
Vets shall not submit or include any photographic material that depicts children or adults without having obtained all legally required consents, or that violates any privacy, publicity, intellectual property, or other rights of any third party. RexVet reserves the right, in its sole discretion, to refuse to display, remove, or disable access to any photographic material that does not comply with these Terms, applicable law, or RexVet's content standards, or that RexVet otherwise determines to be inappropriate or unacceptable.
35.3 Representations, Warranties, and Indemnification
By submitting any photograph or visual material, the Vet represents and warrants that: (a) the Vet owns all intellectual property rights in the material or has obtained all necessary licenses, permissions, and consents to grant the rights described in these Terms; (b) any identifiable individual depicted has provided valid consent for their likeness to be displayed online and used for promotional purposes; (c) the material accurately and fairly represents the subject depicted and has not been altered in a misleading manner; and (d) all required permissions and authorizations have been obtained to use, post, and license the material as contemplated herein. The Vet agrees to indemnify, defend, and hold harmless RexVet and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to any breach of these representations or warranties or any claim that the submitted material infringes or violates the rights of any third party.
37. Hypertext Links
37.1 Links to External Websites
RexVet reserves the right, in its sole discretion, to permit, restrict, refuse, remove, disable, or modify any hypertext links or website addresses included in Vet listings or other content on the Site, with or without notice. RexVet does not endorse and is not responsible for the content, availability, accuracy, or practices of any external websites linked through the Site. RexVet further reserves the right to impose fees, conditions, or limitations on the inclusion or display of hypertext links at any time, including as part of paid features or promotional offerings.
38. Client Transactions
38.1 Payment Processing and Agency Authorization
All Client payments for appointments booked through the Site are made to RexVet. Each Vet expressly authorizes RexVet to act as the Vet's limited payment collection agent for the sole purpose of facilitating Client transactions, concluding the Client's order for the Vet's services, and receiving payment of the applicable appointment fees on the Vet's behalf. The Vet acknowledges and agrees that payment by a Client to RexVet constitutes full satisfaction of the Client's payment obligation to the Vet for services booked through the Site.
38.2 Prohibition on Direct Payments
Vets may not request, accept, solicit, or permit Clients to remit payment directly to the Vet or to any representative, agent, or third party for any services booked, provided, or facilitated through the Site. Any attempt to circumvent RexVet's payment system constitutes a material breach of these Terms and may result in immediate suspension or removal of the Vet's listing or Account, without notice and without refund, in RexVet's sole discretion.
39. Vet Subscription Fees
39.1 Subscription Programs and Pricing
Veterinary clinics may elect to enroll in RexVet's subscription program to access and use RexVet's software on a subscription basis, including, where applicable, white-label functionality for the clinic's exclusive use with its own patients. Subscription fees, billing frequency, and applicable terms are disclosed at the time of initial purchase, renewal, upgrade, or additional order. Subscription rates and fees are subject to change at any time, and the rates in effect at the time of a Vet's renewal, upgrade, new listing, or purchase of additional products or services shall govern for that transaction. Subscription fees may be billed monthly or in advance, as selected at checkout. Unless otherwise expressly stated, all fees are charged in U.S. dollars.
39.2 Payment Processing
All subscription fees and related charges are processed through RexVet's designated third-party payment processor, including Stripe, in accordance with the applicable payment terms set forth in these Terms. RexVet does not store full payment card details and is not responsible for any errors, interruptions, or processing delays attributable to the payment processor.
40. Payment Processing
40.1 Stripe Payment Processing and Payouts
All payment processing services made available through the Site, including the collection of fees from Clients and the disbursement of payouts to Vets, are provided by Stripe, including Stripe Connect, and are subject to the applicable Stripe Services Agreement, Stripe Connect Agreement, and related policies (collectively, the 'Stripe Services Agreement'). By agreeing to these Terms and/or continuing to operate as an Account holder on the Site, each Vet agrees to be bound by the Stripe Services Agreement, as it may be modified by Stripe from time to time.
As a condition of RexVet enabling payment processing and payout services through Stripe Connect, you agree to provide RexVet and Stripe with accurate, complete, and current information about yourself and your business, and you authorize RexVet to share such information, as well as transaction and payment data related to your use of the Services, with Stripe for the purposes of payment processing, compliance, fraud prevention, identity verification, and payouts. RexVet does not control and is not responsible for Stripe's services, systems, availability, or decisions, including any delays, holds, reserves, verification requirements, or account suspensions imposed by Stripe.
41. Indemnification
41.1 Vet Indemnity Obligations
Each Vet agrees to indemnify, defend, and hold harmless RexVet, its affiliates, officers, directors, employees, contractors, agents, and any third-party service providers whose tools or services are offered through the Site (each, a 'Third-Party Provider') from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, losses, fines, penalties, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: the Vet's access to or use of the Site or Services; any veterinary teletriage, telehealth, telemedicine, prescribing, or other professional services provided by the Vet through or in connection with the Site; any content, information, listings, images, or materials submitted, uploaded, or otherwise provided by or on behalf of the Vet; any breach or alleged breach of these Terms; any actual or alleged infringement or misappropriation of intellectual property, privacy, publicity, or other third-party rights arising from the Vet's use of the Site or Services or Vet-submitted content; and any claim, complaint, disciplinary action, or regulatory inquiry or investigation relating to the Vet's professional conduct, licensure, scope of practice, or compliance with applicable laws or professional requirements.
41.2 Indemnification Process and Control
RexVet will provide the Vet with reasonable notice of any claim, demand, or proceeding subject to indemnification under this Section; provided, however, that any failure or delay in providing such notice shall not relieve the Vet of its indemnification obligations except to the extent materially prejudiced. RexVet reserves the right, in its sole discretion, to participate in or assume control of the defense of any such matter, at the Vet's expense, using counsel of RexVet's choosing. The Vet may not settle, compromise, or resolve any indemnified claim without RexVet's prior written consent, which shall not be unreasonably withheld if the settlement includes a full and unconditional release of RexVet and does not impose any admission of liability or ongoing obligation on RexVet.
42. Termination of Listings; Other Remedies
42.1 Immediate Action for Violations
Without limiting any other rights or remedies available to RexVet, RexVet may, in its sole discretion, restrict, suspend, demote, or terminate a Vet's listing or access to the Site immediately and without refund if the Vet submits unsuitable, misleading, or non-compliant material; fails to comply with applicable laws, regulations, or professional standards; misuses the Site or related systems; creates disruption or harm to users or the community; or otherwise materially breaches these Terms. RexVet may also take action where a Vet's conduct presents legal, regulatory, reputational, or operational risk to RexVet or its users.
42.2 Complaints and Conduct-Based Removal
If RexVet becomes aware of, or receives one or more complaints from any user, regulator, third party, or other source regarding a Vet's listing or services that, in RexVet's sole discretion, warrant corrective action, RexVet may immediately remove, suspend, or terminate the Vet's listing(s) or subscription(s), with or without notice and without refund. RexVet has no obligation to investigate, verify, or resolve complaints prior to taking action. In addition, RexVet reserves the right to immediately terminate a Vet's listing(s) or subscription(s) without refund if the Vet engages in abusive, threatening, harassing, or offensive conduct toward any RexVet employee, contractor, or representative.
42.3 Additional Enforcement Measures
In addition to termination, RexVet reserves the right to take any other action it deems appropriate in response to violations of these Terms or misuse of the Site, including without limitation suppressing or hiding listings from search results, adjusting search ranking or visibility, marking a Vet as unavailable or 'out of office,' removing or modifying inaccurate, misleading, or non-compliant information, or imposing other restrictions or conditions on a Vet's use of the Site. RexVet's exercise of any enforcement action shall not limit its right to pursue additional remedies available at law or in equity.
43. Telemedicine & Licensure Disclosure
43.1. RexVet provides veterinary telemedicine services, including remote consultations with licensed veterinarians. Diagnosis, treatment, and prescribing services are provided only when the attending veterinarian is licensed in the client's jurisdiction and where telemedicine is permitted by law.
43.2. When a RexVet veterinarian is not licensed in a client's jurisdiction, or when telemedicine is otherwise prohibited by law, services are limited to non-diagnostic teletriage or general teleadvice only.
43.3. Medical Services & Prescriptions: Consultations are provided by independent, licensed veterinarians who contract with RexVet.
43.4. Diagnosis, treatment, and prescribing services are provided only when medically appropriate, a valid veterinarian-client-patient relationship (VCPR) is established where required by law, and when such services are legally permitted in the client's jurisdiction.
43.5. Prescriptions are not guaranteed and are issued solely at the professional discretion of the attending veterinarian.
43.6. All prescriptions, when issued, are filled and shipped through licensed third-party pharmacies. RexVet does not manufacture medications and is not responsible for pharmacy delays, shipping issues, or dispensing errors beyond its control.
